I would have to see the written contract to determine who could be held liable; or. If any terms guaranteed the results expected.  CAVEAT:  Anytime entering into an agreement, always get it in writing, make sure both parties (entities) actually have assets for monetary enforceability; and, before signing; have a qualified attorney review.  A good contract beforehand, scares away scammers, and hopefully can prevent many problems later.
