First it is very important to remember to always ask before you make a choice than afterwards. It is far cheaper to pay for an hour with a local and experienced corporate lawyer and separately with an accountant experienced with corporations, to learn your choices than to fix mistakes. Legal... (more) First it is very important to remember to always ask before you make a choice than afterwards. It is far cheaper to pay for an hour with a local and experienced corporate lawyer and separately with an accountant experienced with corporations, to learn your choices than to fix mistakes. Legal concepts are very similar in all Western legal jurisdictions since our Western law started in England but, whether tax law or corporate laws like liability etc, we humans like to reinvent the wheel so there are differences between where you are located and your neighbouring Province or State let alone between countries. It is very cost effective to pay for an hour with an experienced professional because you quickly learn your choices and the consequences of your choices in your local legal jurisdiction - it is very expensive to undo legal mistakes, if the mistake can be undone. Generally, a limited liability partnership (LLP) is a formal partnership of humans and or corporations but the partnership itself is a relationship of separate people for a purpose eg business venture but not an entirely separate legal person like a corporation. It is very important to have the advice of a local lawyer about the liabilities involved with a Partnership of any kind, and advice from your local accountant about the tax implications. Generally, creating a Limited Liability Corporation (LLC) is like having a baby - in law the corporation is a separate legal being with all its own separate rights and obligations even if the parents have to do everything for it initially. For example, there are separate tax returns to be done for the corporation, and at least annual corporate registry filings and Minute Book updates. Generally, people create corporations for three reasons: to reduce personal liability, for marketing reasons, and or for tax planning options. For example, usually you have personal liability protection from mistakes made by a corporation if you are only a shareholder eg if your only involvement in Microsoft is to own shares then you do not have to personally contribute when Microsoft has to pay a Judgement when it loses a court case, etc. It is important that you make a written list of your objectives and your reasons then talk with your local Lawyer and Accountant so you understand the consequences then make the right choices for your circumstances.
