Otherwise, Even if paying themselves a modest payroll they will most likely qualify for Tax credits through MNsure. They should talk to an accountant about the benefits of paying themselves payroll instead of living off the company. Get INC or LLc. This will also help in case of legal action.

Are you worried about Health insurance only? If you currently have a group policy, compliance depends on when it was set up. If you are looking to add a group policy you have some options. This all depends on the State of operations, The size of operations etc..
